Norma QMS / Legal
Terms of Service
These terms are the agreement between Quantra Innovation & Technology, Inc. ("Norma", "we", "us") and the business that signs up for Norma ("you", "the customer"). They cover NormaQMS, NormaMES, NormaLMS, NormaECS and Factory Studio, the websites at normaqms.com, and any support we give. We've written them in plain English. If you sign up on behalf of a company, you confirm you're allowed to accept them for it.
1. What Norma is
Norma is software, delivered over the internet, that helps manufacturers run a quality management system, a shop floor, training and export compliance. We host it, keep it running and update it. You don't install anything.
Norma is a tool. It doesn't make your quality system compliant, certify you, or replace your own judgment, your registrar or your legal advisers. You decide how you use it and what you record in it.
2. Your account
- Give us accurate sign-up details and keep them current.
- Each person who signs in uses their own account. Don't share passwords.
- You're responsible for what happens under your organization's accounts, including who you invite and what roles you give them.
- Tell us at support@normaqms.com right away if you think an account has been compromised.
3. Your data is yours
Everything you or your people put into Norma — documents, records, files, signatures — is your data. You own it. We use it only to run Norma for you, keep it secure, support you, and meet our legal duties. We don't sell it, and we don't use it for advertising. Our Privacy Notice and Data Processing Addendum say more.
You can download your organization's registers, files and record chains at any time from Settings → Termination pack.
4. Acceptable use
You agree not to:
- break the law with Norma, or use it to store or send anything you don't have the right to;
- upload Controlled Unclassified Information (CUI), ITAR technical data, or other export-controlled technical data. Norma is not built or authorized for it (see our Security page). NormaECS records a reference, a status and a sign-off — keep the controlled material itself in your own controlled enclave;
- try to get into another customer's data, probe or overload the service, or get around its security or limits;
- upload malware (we refuse files that look dangerous);
- resell Norma or build a competing product from it without our written agreement.
We may suspend access that puts Norma or other customers at risk. Where we can, we'll tell you first and work with you to fix it.
5. Plans, fees and payment
- Some parts of Norma are free. Paid plans and modules are priced on our pricing page or in your order, before tax.
- Paid plans renew automatically each month or year until you cancel. You can cancel from Billing at any time; the plan runs to the end of the period you've paid for.
- Payments are taken by Stripe. We never see or store your full card number.
- If a payment fails, we'll tell your administrators. Norma keeps working fully for 14 days. After that your organization becomes read-only until payment is updated — you can still read and export everything. We never delete data because a payment failed.
- We may change prices with at least 30 days' notice before your next renewal. A change never applies to a period you've already paid for.
- Fees are non-refundable except where the law requires otherwise or these terms say so.
6. Free trials
When a trial is offered, its length is shown when you start it. When it ends, the paid features stop unless you subscribe. Your data stays.
7. Closing your account
- An administrator can close the organization's account. We ask you to download the termination export first.
- After closure we keep your data for 90 days, so you can change your mind. Contact support to reopen before then. After 90 days we delete it. Copies in our backups age out within the following 7 days.
- If these terms end for any other reason, the same 90 days apply.
8. Availability and changes
We work to keep Norma available, but we don't promise it will never be interrupted, and we don't offer a service-level agreement.
We improve Norma all the time. We may change or remove features. If we remove something material from a paid plan you're using, we'll tell you in advance.
9. Export screening and regulatory content
NormaECS checks names against the US government's Consolidated Screening List and helps you keep classification records. The screening list is maintained by the US government, not by us. A "no match" result is not legal clearance, and you remain responsible for your export compliance decisions. The same goes for standards content, templates and guidance anywhere in Norma: they're a starting point, not legal or regulatory advice.
10. Confidentiality
Each of us will keep the other's non-public information confidential and use it only for this agreement. That doesn't cover information that is already public, that the other side already had, or that the law requires us to disclose (we'll tell you first where we're allowed to).
11. Warranties
We'll provide Norma with reasonable skill and care. Apart from that, and to the extent the law allows, Norma is provided "as is", without other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
12. Limit of liability
To the extent the law allows:
- Neither of us is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, even if warned of them.
- Each side's total liability under these terms is limited to the fees you paid us in the 12 months before the event that caused the claim. For a free account, that amount is zero dollars, except where the law doesn't allow it.
These limits don't apply to your payment obligations, to a breach of the acceptable-use section, or to liability that can't be limited by law.
13. Indemnity
You'll defend us against third-party claims arising from data you put into Norma or from use that breaks section 4, and cover the resulting costs a court awards or that you agree to settle.
14. Changes to these terms
We may update these terms. The version date at the top changes, and we'll ask you to accept the new version the next time you sign in. If you don't accept, you can close your account as in section 7.
15. General
- These terms are governed by the laws of Florida, and disputes go to the state or federal courts there.
- If part of these terms can't be enforced, the rest still applies.
- Neither of us may transfer this agreement without the other's consent, except as part of a merger or sale of the business.
- Neither of us is responsible for delays caused by events outside reasonable control.
- These terms, the Privacy Notice and (if you've signed it) the DPA are the whole agreement about Norma.
